    PaperImperium has extensive experience in oversight and diligence roles, and can bring to bear that expertise while ensuring OpCo stays narrowly focused on its DAO-approved mission.

Applicant / Nominee Qualifications and Experience

    Corporate Finance, Capital Allocation, and Financial & Risk Management: PaperImperium has served on a variety of grant-giving, allocation, and oversight committees. This includes multiple years on the Optimism Grants Council, Arbitrum LTIPP, and Arbitrum STEP, along with several lesser or more temporary roles in the Polygon and MakerDAO ecosystems.

  • Describe your network and reputation within the blockchain/technology industry. Have you previously represented a crypto brand and/or navigated DAO governance:
    PaperImperium participates on behalf of GFX Labs across multiple DAO governances, with particular emphasis on cross-chain ecosystems like Arbitrum, and the stablecoin/RWA sector.

  • Detail your experience in advisory, governance, and/or oversight roles:
    Optimism Grants Council, Arbitrum STEP, Arbitrum LTIPP, Polygon zkEVM Grants, and various other allocation, diligence, and grant-giving bodies. This includes extensive familiarity with and interaction with extra-DAO organizations in offshore jurisdictions to provide services to a DAO that otherwise lacks a registered legal entity to face counterparties.

  • Have you previously contributed to the Arbitrum DAO? Describe any relevant experiences through which you’ve gained an understanding of the DAO’s current structure, contributors, and programs:
    PaperImperium, on behalf of GFX Labs, has served as our governance liaison (point of contact) with Arbitru, as well as our primary contributor on LTIPP Council and STEP Screening Committee.

  • Given the scope of OpCo is relatively broad in its current form, describe how you view OpCo’s role within the DAO and what it should accomplish to deem the entity a success over the next 3-5 years:
    DAO-directed external entities should generally be narrow in scope, with an emphasis on transparency. External entities should generally only engage in activities at the explicit direction of the DAO, or as required to carry out those activities and maintain legal/tax compliance and ensure continuing operational capacity. Experience shows that it is best if the DAO provide very clear instructions on what needs to be done, and the external entity then figure out the how, subject to any restrictions placed on it by the DAO. Notably, when firm control by the DAO conflicts with operational efficiency, the priority should be on the DAO governance retaining tight control over the entity. Past experience at other DAOs has seen unexpected flows of funds, cash getting stuck, and lack of adherence to DAO directives when the external entity is not kept laser-focused on carrying out tasks as directed.

    Applicant conflicts of interest: PaperImperium’s conflicts are limited to those of GFX Labs, and DeFi Education Fund.
    Nominee conflicts of interest: GFX has current or recent governance relationships with Arbitrum, Optimism, Uniswap, Morpho, Wormhole. GFX also operates Oku, which integrates dozens of chains (including Arbitrum), bridges, routers, and fiat conversion providers.

  • Please disclose all active contributor roles and payment streams related to the Arbitrum DAO that the applicant/nominee, and entities that they have a professional or financial relationship with, has and is receiving:
    GFX Labs currently receives standard delegate pay as a top delegate, as well as STEP Screening Committee compensation. PaperImperium receives no payments from Arbitrum.

    • Successfully completing as well as maintaining updated all relevant non-disclosure agreements, KYC requirements, and other necessary documents
    • Not being a direct representative or full-time employee at network competitors (e.g., Solana, Polygon, Optimism)
    • The person as well as any companies with which the person maintains a professional or financial relationship to relinquish any and all contributor roles within the Arbitrum DAO that were obtained through an official election or ratification process conducted via Snapshot or Tally
    • The person as well as any companies with which the person maintains a professional or financial relationship to abstain from becoming an internal employee for OpCo, entering into service provider contracts with the entity, or applying for any contributor role within the Arbitrum DAO that requires an official election or ratification process through Snapshot or Tally
    • The person as well as any companies with which the person maintains a professional or financial relationship to relinquish positions on other DAO initiatives’ or DAO-adjacent entities’ oversight committees or any other positions comparable in nature
    • Being aligned with the community values listed in The Amended Constitution of the Arbitrum DAO, following the Code of Conduct for delegates, being committed to prioritizing the Arbitrum DAO’s needs, and acting in absolute good faith and utmost honesty to fulfill their duties to the best of their abilities.
